Constitution of the Tech Valley .NET User Group
Article 1 - Organization Name and Objective
- The name of the organization will be: Tech Valley .Net User Group.
- The Tech Valley .Net User Group will be a non-profit organization.
- The objective of the organization will be to share Microsoft .NET knowledge and experience with members of the user group through group presentations, discussions and/or other means.
Article 2 - Qualification of Members
Any individual user of Microsoft .NET technologies or any person interested in software development may be a member in the organization.
Article 3 - Executive Board Election
- The Executive Board will be composed of a minimum of three and a maximum of six members.
- Officers of the Executive Board will shared responsibilities as "Co-Leaders".
- The election of the Executive Board will be held at the last meeting of the year. The term of office will be one year.
- Members of the organization will be elected to the Executive Board by a majority of the members who vote in the election. Members are eligible to vote and run for a position on the Executive Board if they attend 5 out of the 10 meetings through out the year. There will be no cumulative voting. The candidates receiving the highest number of votes will serve on the Executive Board.
Article 4 - Executive Board Duties
- The Executive Board is responsible for the official activities of the organization.
- The Executive Board can modify the bylaws of the organization.
- The Executive Board approves the Constitution by a two-thirds majority.
- Motions brought before the Executive Board will be approved by a majority vote of the Board.
- The Executive Board will not incur any indebtedness on the part of the organization.
Article 5 - Amendments
- Amendments to the constitution must be presented in writing to the membership at least 60 days before voting.
- Amendments to the constitution will require a two-thirds majority of all members (not just those present at a meeting).
- Amendments to the bylaws require a majority vote of the Executive Board.
Bylaws of the Tech Valley .NET User Group
- Each member of the organization who has attended 5 out of 10 meetings through out the year has one vote. Voting by proxy will be allowed, but must be dated for a specific meeting and signed by the voter.
- There will be a minimum of ten monthly meetings per year. A consistent date and time for each meeting will be established by the Executive Board. If for any reason the date changes, the members will be notified at least seven days previous to the new date.
- No quorum is required for general meetings.
- Meeting of the Executive Board can be called by any board member, with the approval of the majority of the executive board.
- Executive Board members can be removed only by the affirmative vote of two-thirds of all members (not just those present at the meeting).
- Any funds disbursed by the organization must first be approved by a majority of the Executive Board.
- Robert’s Rules of Order will prevail in all cases to which they are applicable and consistent with the bylaws of the organization.
- Upon dissolution of the organization, assets will be distributed to a non-profit organization voted upon by a majority of the members present.
